The Limited Warranty (as defined below) described herein applies to both EVPassport’s CapEx and Infrastructure-as-a-Service (“IaaS”) models. For the purposes of this Limited Warranty, the defined term “Product” shall be meant to encompass both the direct purchase of electric vehicle charging stations and the subscription to EVPassport’s IaaS model, as applicable. Furthermore, the terms “purchase” and “purchaser” shall refer to (i) the act of directly purchasing or subscribing to the Product and (ii) the person or entity purchasing or subscribing to the Product, as applicable.
Under this limited warranty (the “Limited Warranty”) EVPassport LLC (“EVPassport”) warrants that (a) the EVPassport Level 2 charger will be free from material original defects in materials and workmanship for a period of one year from the date of original purchase and (b) that the Level 3 DCFS chargers will be free from material original defects in materials and workmanship for a period of two years from the date of original purchase, each subject to the terms hereof. The Level 2 chargers and Level 3 DCFS chargers shall be referred to collectively herein as the “Product”.[1] To be eligible for coverage under this Limited Warranty the Product must be used in strict accordance with the terms (i) set forth herein, (ii) in the Product’s associated instructions, including, but not limited to, user guides, installation manuals, operation manuals (each as may be updated from time to time) from EVPassport and manufacturer (“Product Instructions”), and (iii) of the agreement governing the purchase of the Product, as may be amended from time to time in accordance with the terms thereof (the “Agreement”).
PLEASE READ THIS LIMITED WARRANTY CAREFULLY. THIS LIMITED WARRANTY (INCLUDING TERMS RELATED TO THE DURATION HEREOF) IS SUBJECT TO A NUMBER OF IMPORTANT EXCLUSIONS AND LIMITATIONS SET FORTH BELOW. PERFORMANCE OF NECESSARY REPAIRS AND PARTS REPLACEMENT BY EVPASSPORT IS THE EXCLUSIVE REMEDY UNDER THIS LIMITED WARRANTY.
Information below contains standard warranty coverage for all warrantied Products. If any information is missing from this document, it is within EVPassport’s right to provide a necessary interpretation or extrapolation of warranty procedures. EVPassport shall retain the authority to interpret the Limited Warranty within its discretion.
This Limited Warranty applies only to new Products that satisfy each of the following requirements: (i) purchased to from EVPassport or an EVPassport-certified reseller; (ii) are of the specific make, model and part number set forth herein; (iii) stored, operated and maintained in the United States or such other territory as agreed to in writing by EVPassport; and (iv) installed by EVPassport or an EVPassport-certified installer in the United States or such other territory as agreed to in writing by EVPassport. Subject to applicable law, the Limited Warranty shall exclude Products for which the purchaser, as applicable, is in breach of the Agreement for failure to adhere to purchaser’s payment obligations. The Limited Warranty is restricted to the country of purchase. The warranty will be invalid on the items once they are taken or shipped to other countries.
Except as otherwise expressly set forth herein, and unless otherwise prohibited by applicable law, this Limited Warranty only applies to the original end-user purchaser who purchased the Product from EVPassport or an EVPassport-certified reseller (“Owner” or “You”). This Limited Warranty is transferable only to an Eligible Subsequent Purchaser. An “Eligible Subsequent Purchaser” is a purchaser of a Product who (i) purchases the Product from an EVPassport-authorized reseller, and EVPassport has authorized such reseller to sell such Product to such person under its original warranty and (ii) provides proof of such purchase and other documentation as set forth herein. For the avoidance of doubt, resale of a Product to an Eligible Subsequent Purchaser will not extend the Warranty Period.
Owner shall reasonably cooperate with EVPassport to allow EVPassport to diagnose and remedy such failure in the event the Product fails to operate in material accordance with the specifications set forth in the Agreement or Owner submits a warranty claim (“Specifications”). For the avoidance of doubt, such cooperation will include, without limitation, cooperating with EVPassport service personnel to diagnose the failure and perform troubleshooting operations in accordance with EVPassport’s instructions. Subject to the terms of this Limited Warranty, in the event the Product fails to operate in accordance with the Specifications, EVPassport may, at EVPassport’s sole option: (i) replace the Product with the same or substantially similar equipment or (ii) repair or cause the Product to be repaired using new or refurbished parts.
If the Product is repaired or replaced under this Limited Warranty, the remainder of the original warranty period will apply to the repaired or replacement product. Under no circumstances will the original warranty period be extended as a result of the Product being repaired or replaced.
The decision of whether to repair or replace a part or to use a new, reconditioned, or remanufactured part (and the condition of such part) is within the sole discretion of EVPassport.
THE REMEDIES SET FORTH IN THIS LIMITED WARRANTY ARE YOUR SOLE AND EXCLUSIVE REMEDIES AND EVPASSPORT’S ENTIRE LIABILITY FOR ANY BREACH OF THE LIMITED WARRANTY SET FORTH HEREIN. THIS LIMITED WARRANTY IS THE SOLE WARRANTY MADE BY EVPASSPORT AND ANY RESELLER. ALL OTHER IMPLIED OR EXPRESS WARRANTIES, INCLUDING ANY STATUTORY WARRANTY RIGHTS FOLLOWING FROM LOCAL LAWS, OR OTHER CONDITIONS ARE DISCLAIMED TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, OR THOSE ARISING OUT OF A COURSE OF DEALING OR USAGE OF TRADE. IF SUCH WARRANTIES CANNOT BE DISCLAIMED DUE TO APPLICABLE LAW, EVPASSPORT LIMITS THE DURATION OF AND REMEDIES FOR SUCH WARRANTIES TO THE DURATIONS AND REMEDIES DESCRIBED IN THIS LIMITED WARRANTY AND ALLOWABLE UNDER APPLICABLE LAW.
EVPASSPORT AND ANY EVPASSPORT-AUTHORIZED RESELLER EXPRESSLY DISCLAIM ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EVPASSPORT AND EVPASSPORT-AUTHORIZED RESELLER HEREBY DISCLAIM ANY AND ALL DIRECT OR INDIRECT, INCIDENTAL, SPECIAL AND CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE PRODUCT AND SITE WORK, INCLUDING, BUT NOT LIMITED TO: LOSS OF INCOME OR LOST PROFITS; PRODUCT DOWNTIME; INJURY; EMOTIONAL DISTRESS OR HARM, COMMERCIAL LOSS (INCLUDING BUT NOT LIMITED TO LOST PROFITS OR EARNINGS); SERVICE CALL CHARGES, GASOLINE EXPENSES, THIRD-PARTY DAMAGE, INCLUDING DAMAGE OR LOSS TO VEHICLES OR PROPERTY, ATTACHMENTS, TRAILERS AND CARGO; LOSS OR DAMAGE TO PERSONAL CONTENTS; COMMUNICATION EXPENSES; LODGING AND/OR MEAL EXPENSES; FINES; APPLICABLE TAXES OR BUSINESS COSTS OR LOSSES; ATTORNEY’S FEES; AND ANY LIABILITY YOU MAY HAVE IN RESPECT TO ANY OTHER PERSON OR ENTITY. (THIS LIMITATION SHALL APPLY REGARDLESS OFF WHETHER THE EXCLUSIVE REMEDY PROVIDED HEREUNDER “FALLS IN ITS ESSENTIAL PURPOSE” WITHIN THE MEANING OF SECTION 2719(B) OF THE UNIFORM COMMERCIAL CODE.)
OWNER’S SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM ARISING OUT OF (A) BREACH OF CONTRACT, (B) ANY DEFECTS IN PRODUCTS OR WORKMANSHIP, (C) BREACH OF ANY WARRANTY HEREUNDER, (D) EVPASSPORT’S NEGLIGENCE IN PERFORMING HEREUNDER, OR (E) ANY OTHER CLAIM ARISING HEREUNDER WHETHER IN TORT, STRICT LIABLITY, OR OTHERWISE, SHALL BE LIMITED TO THE REPAIR OR REPLACEMENT OF SUCH PRODUCTS, AT EVPASSPORT’S OPTION, WITHIN THE PERIOD SET FORTH HEREIN, AND SHALL BE DEEMED WAIVED UNLESS SUCH CLAIM IS MADE IN ACCORDANCE WITH THIS LIMITED WARRANTY.
In no event will EVPassport, its affiliates or any of its or their authorized resellers be liable to Owner or any third party for any damages in excess of the purchase price of the Product.[2] This limitation applies to damages of any kind including any direct or indirect damages, lost profits, lost savings, or other special, incidental, exemplary or consequential damages whether for breach of contract, tort or otherwise, or whether arising out of the ability or inability to use the Product. Some states do not allow the exclusion or limitation of damages, so the above limitation or exclusion may not apply to Owner to the extent prohibited under applicable law. Any evidence of an attempt to disassemble, tamper with or reverse engineer the Product except as otherwise expressly set forth herein will void the Limited Warranty.
As a condition of this Limited Warranty, Owner is responsible for properly using, maintaining, and caring for the Product in accordance with associated instructions such as, but not limited to, Product Instructions and the Agreement. EVPassport recommends that Owner maintain copies of any installation or maintenance records and receipts for review by EVPassport.
It is the responsibility of the Owner to maintain the Product in accordance with the applicable maintenance schedule and other instructions provided in the Product Instructions and the Agreement. Failure to adhere to the Product Instructions and the Agreement may result in non-coverage or early termination of the Limited Warranty. Owner may request Product Instructions from EVPassport. Inability to access the Product Instructions will not be considered a valid reason for any failure to comply with the instructions and schedules set forth therein or the warranty requirements set forth herein.
This Limited Warranty provides specific legal rights. Other legal rights may be available, which vary from state to state. For example, some states do not allow limitations on how long an implied warranty lasts, meaning the limitations in the Limitations and Disclaimer section above may not apply. The terms of this Limited Warranty will apply to the fullest extent permitted by applicable law. For a full description of legal rights, please refer to the laws applicable in the relevant jurisdiction.
In the event Owner wishes to relocate the Product, Owner must notify EVPassport in accordance with the Agreement and the terms set forth herein. Owner may request a “Request to Relocate” form from EVPassport and complete such form. Include the completed form along with your notice to the following address:

Acceptance of Owner’s Request to Relocate for purposes of this Limited Warranty shall be at EVPassport’s sole discretion. Products relocated without notifying EVPassport as expressly set forth above will automatically void the Limited Warranty to the extent allowable under applicable law. No “Request to Relocate” shall be considered accepted and approved unless written confirmation of such relocation has been provided by an authorized EVPassport employee.
This Limited Warranty does not apply to any defect, and EVPassport shall not be responsible for any costs, damages, malfunction, or repairs incurred as a result of or related to, any of the following: (i) abnormal operating conditions (including exposure to acid, chemical fumes, metallic dust, or extreme temperatures or weather); (ii) abuse, misuse or negligence by Owner; (iii) accident, abuse, damage, disaster, misuse, unauthorized alteration, force majeure events, including, but not limited to, lightning, flood, earthquake, fire or other events outside the reasonable control of EVPassport; (iv) repair, improper connection with peripherals, electrical fault or utility surge, installation by anyone other than a licensed electrician; (v) improper site preparation or maintenance or failure to install, operate, or maintain the Product in strict compliance with manufacturer instructions, including but not limited to, Product Instructions and the Agreement; (vi) installation, commissioning, modification or repair of the Product, or opening of the external casing of your Product, performed by anyone other than EVPassport or an EVPassport-certified vendor; (vii) failure to store, operate or maintain the Product in accordance with any Operator’s Manual, User Guides, Installation Manuals and Operations Manuals; (viii) any attempt to modify the Product, whether by physical means, programming or otherwise, without the express written consent of EVPassport; (ix) negligence; (x) connection issues due to circumstances outside EVPassport’s control, e.g., evolving Wi-Fi or Bluetooth standards that are not supported by the products; (xi) Products for which the serial number has been altered, defaced or removed; (xii) Products provided free of charge; (xiii) Products used with products or services that are not compatible with the Product; (xiv) Improper repair or maintenance, including, but not limited to, the use of fluids, parts or accessories other than those specified in your owner documentation and Product Instructions; (xv) damage to your Product’s hardware or software, or any loss or harm to any personal information/ data uploaded to your Product resulting from any modifications or unauthorized access to product data or software from any source, including, but not limited to, non-EVPassport parts or accessories, modifications, third party applications, viruses, bugs, malware, or any other form of interference or cyber attack; (xvi) the environment or an act of God, including, but not limited to, airborne chemicals, tree sap, animal or insect droppings, industry fallout, salt, hail, floods, tornados, flood, lightning, hurricane, wind and (thunder)storms, acid rain, fire, water, contamination, lightning and other environmental conditions; and/or (xii) Products used without appropriate or legally-required permits, licenses or other permissions.
*Automobile Accidents; Vandalism: The following terms and conditions apply in the event an Agreement expressly provides for automobile warranty coverage or vandalism (each as applicable) for the Product in addition to other terms and conditions set forth in the Limited Warranty. EVPassport will repair or replace damaged Products, at its sole discretion, if the damage is directly caused by an automobile accident or vandalism (each as applicable) during normal use and under standard operating conditions. Such warranty is limited to damage resulting from automobile accidents or vandalism (each as applicable) that (i) were not caused by the Owner or any party under the Owner’s control; (ii) were not the result of negligence, misuse, improper installation, or unauthorized modifications by the Owner or any third party or (iii) were reasonably preventable on the part of Owner. Warranty coverage for plans including automobile accidents and vandalism, collectively, is limited to no more than two (2) claims per Product during the applicable warranty plan period. The Owner must submit a written warranty claim to EVPassport within thirty (30) days of the automobile accident. Failure to do so will result in the claim being ineligible for coverage. Suchwarranty does not cover damage caused by (i) deliberate or intentional acts, gross negligence, or failure to follow EVPassport’s maintenance and operational guidelines; (ii) damage to surrounding infrastructure, vehicles, or other property resulting from the automobile accident; (iii) normal wear and tear, environmental factors, or cosmetic damage that does not affect the functionality of the Product; (iv) automotive accidents or vandalism resulting from the Owner’s failure to follow EVPassport’s security or installation guidelines or failure to take reasonably preventative or protective measures as determined in good faith by EVPassport; (iv) theft or loss of the Product or any of its components. To initiate a warranty claim, the Owner must provide: (i) a detailed description of the accident or vandalism and resulting damage; (ii) photographic evidence of the damage to the Product and (iii) any relevant third-party documentation, such as police or insurance reports. EVPassport’s liability under this provision is strictly limited to the repair or replacement of the damaged Product. EVPassport shall not be liable for any indirect, incidental, or consequential damages arising from the automobile accident or vandalism, including but not limited to downtime, loss of income, or damage to other property.
This Limited Warranty does not cover: (a) normal wear and tear or deterioration, or superficial defects, dents or marks that do not impact the performance of the Product; (b) cosmetic care; (c) routine maintenance (unless otherwise expressly set forth in the Agreement); (d) corrosion or paint defects; (e) non-genuine EVPassport parts or accessories or their installation, or any damage directly or indirectly caused by, due to, or resulting from, the installation or use of non-genuine EVPassport parts or accessories; (f) parts, accessories and charging equipment that were not included in the purchase of the Product; (g) any additional EVPassport parts or labor required to repair or service a Product, whether under warranty or otherwise, due to any of the exclusions specified in this Limited Warranty, including but not limited to, hardware or software modifications or non-genuine EVPassport parts or accessories; (h) noise or vibration that is not excessive or uncharacteristic and does not materially impact the Product’s performance; (i) damage or deterioration that occurs after the expiration or voiding of the warranty period; or (j) theft or vandalism of the Product or any of its components, in each case as may be determined by EVPassport in its reasonable discretion. This Limited Warranty covers hardware parts.[3] In the event the Product requires an on-site assessment to address a warranty claim, the cost of such on-site assessment shall be the responsibility of the Owner.
EVPASSPORT SPECIFICALLY DOES NOT WARRANT THAT ANY PRODUCT WILL BE ERROR FREE OR WILL OPERATE WITHOUT INTERRUPTION.
You may void this Limited Warranty if you do not follow the specific instructions and recommendations regarding the use and operation of the Product provided in the Product Instructions, including, but not limited to:
The following may also void the Limited Warranty: (a) third-party modifications or modifications; (b) failure to adhere to the Product Instructions; (c) Products that do not have clean title or have been sold, designated, labeled or branded as dismantled, fire-damaged, flood-damaged, junk, rebuilt, salvage, reconstructed, irreparable or a total loss; and (d) Products that have been determined to be a total loss by an insurance company.
EVPassport is required to advise Owners that lithium-ion batteries may contain chemicals known to the State of California to cause cancer, birth defects and reproductive harm. EVPassport does not expect Owner to come into contact with any part of the Product other than the external casing. If such contact should occur, please wash hands afterwards.
No person or entity, including an EVPassport employee or authorized representative, can modify or waive any part of this Limited Warranty. EVPassport may occasionally offer to pay some or all of the cost of certain repairs that are not covered by this Limited Warranty, either for specific Product models or on an ad hoc, case-by-case basis, as EVPassport determines in its sole discretion. EVPassport reserves the right to do the above at any time without incurring any obligation to make a similar payment to other Product owners or lessees.
EVPASSPORT SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS LIMITED WARRANTY, REGARDLESS OF THE FORM OF ACTION AND REGARDLESS OF WHETHER EVPASSPORT HAS BEEN INFORMED OF, OR OTHERWISE MIGHT HAVE ANTICIPATED, THE POSSIBILITY OF SUCH DAMAGE. SOME STATES DO NOT ALLOW, OR RESTRICT, THE EXCLUSION OR LIMITATION OF DAMAGES, INCLUDING INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY, OR MAY ONLY APPLY TO A LIMITED EXTENT, IN SUCH EVENT ONLY TO THE EXTENT SO LIMITED BY APPLICABLE STATE LAW. EVPASSPORT’S SOLE OBLIGATOIN (AND YOUR SOLE AND EXCLUSIVE REMEDY) WITH RESPECT TO ANY PRODUCTS SHALL BE THE REPAIR OR REPLACEMENT OF DEFECTIVE PRODUCTS AT THE SOLE OPTION OF EVPASSPORT AS MAY BE EXPRESSLY SET FORTH HEREIN.
THE PRODUCT IS NOT INTENDED FOR USE AS A PRIMARY OR BACKUP POWER SOURCE FOR LIFE-SUPPORT SYSTEMS OR OTHER MEDICAL EQUIPMENT. EVPASSPORT DISCLAIMS ANY AND ALL LIABILITY ARISING OUT OF ANY SUCH USE OF THE PRODUCT. FURTHER, EVPASSPORT RESERVES THE RIGHT TO REFUSE TO SERVICE ANY PRODUCT USED FOR THESE PURPOSES AND DISCLAIM ANY AND ALL LIABILITY ARISING OUT OF EVPASSPORT’S SERVICE OR REFUSAL TO SERVICE YOUR PRODUCT IN SUCH CIRCUMSTANCES.
On-Site Labor Related to Un-Installing or Reinstalling the Repaired or Replacement Equipment or Transportation Costs or Travel Costs Related to the Labor.
Unless otherwise expressly set forth herein site preparation and installation services related to the installation of the Chargers (the “Site Work”) are not warrantied hereunder. The warranties, if any, applicable to the Site Work shall be those provided solely by the independent contractor. In the event of a defect, failure, or required repair related to the Site Work, the Owner is responsible for contacting the contractor directly to address such issues. EVPassport shall have no responsibility or liability for defects or failures arising from or related to the Site Work, including but not limited to underground wiring, conduit installation, or other preparatory activities. This Limited Warranty does not cover defects or failures resulting from (i) improper or incomplete installation of the Products due to defective Site Work or (ii) any damage to the Products caused by issues with the Site Work or related infrastructure. EVPassport shall have no obligation to coordinate or facilitate warranty repairs for the Site Work. Notwithstanding the foregoing, EVPassport warrants that Site Work performed pursuant to an IaaS Agreement will be free from defects in workmanship and materials under normal use and service conditions for a period of thirty (30) days from the date of initial completion of the Site Work (the “Warranty Period”). This limited warranty applies only to the specific work performed by EVPassport or its authorized contractors. To be eligible for a warranty claim related to the Site Work, the Owner must submit a written claim to EVPassport within the thirty (30) day Warranty Period. Claims submitted after the Warranty Period will not be accepted or honored. Warranty claims made pursuant to this Section are subject to the same terms and limitations of Product Warranties set forth in the Limited Warranty.

To obtain warranty service, you must notify EVPassport within the applicable warranty period and within thirty (30) days after a defect is, or reasonably should have been, discovered.
You must allow EVPassport a reasonable time for completion of repairs and/or service.

Please carefully read this provision, which applies to any dispute between EVPassport LLC and its affiliates (together “EVPassport”) and Owner. This includes claims arising before this Limited Warranty, such as claims related to statements about our products. The validity, performance, and all other matters relating to the interpretation and effect of this Agreement shall be governed by the laws of the State of Delaware, without giving effect to its conflict of laws rules. The application of the United Nations Convention on Contracts for the International Sale of Goods and the United Nations Convention on the Limitation Period in the International Sale of Goods to this Agreement are expressly excluded. If you have a concern or dispute, please send a written notice describing it and your desired resolution to legal@evpassport.com. If not resolved within 60 days, you agree that any dispute arising out of or relating to any aspect of the relationship between you and EVPassport will not be decided by a judge or jury but instead by a single arbitrator in an arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (“Rules”). To learn more about the Rules and how to begin an arbitration, you may call any AAA office or go to http://www.adr.org. The arbitrator may only resolve disputes between you and EVPassport and may not consolidate claims without the consent of all parties. The arbitrator cannot hear class or representative claims or requests for relief on behalf of others purchasing or leasing EVPassport products. In other words, you and EVPassport may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any class or representative action. If a court or arbitrator decides that any part of this agreement to arbitrate cannot be enforced as to a particular claim for relief or remedy (such as injunctive or declaratory relief), then that claim or remedy (and only that claim or remedy) shall be severed and must be brought in court and any other claims must be arbitrated. If you prefer, you may instead take an individual dispute to small claims court.
You may opt out of arbitration within 30 days of receipt of this Limited Warranty by sending a letter to: EVPassport LLC; 3130 Wilshire Boulevard, Suite 340, Santa Monica, CA 90404, stating your name, product, and intent to opt out of the arbitration provision. If you do not opt out, this agreement to arbitrate overrides any different arbitration agreement between us, including any arbitration agreement in a lease or finance contract.
Assignment
No EVPassport or Owner shall assign its rights or delegate its duties hereunder or any interest therein or any rights hereunder without the prior written consent of EVPassport. Any unapproved assignment without such consent shall be void ab initio.
Confidential Information; Intellectual Property. This document contains confidential and/or privileged information. Information herein is copyrighted by EVPassport. No right, title, license or any other interest is granted to the recipient in or to such information or the disclosures made herein, including without limitation those relating to EVPassport patents, trademarks or other intellectual property. If you are not the intended recipient or have received this document in error, please notify the sender immediately and destroy this document. Any unauthorized, direct or indirect, reverse engineering, reverse compiling, copying, disclosure, distribution or other use of the material or parts thereof is strictly prohibited and may be subject to legal penalty. All rights reserved.
Any service or repairs beyond the scope of the Limited Warranty will be performed upon Owner approval at EVPassport’s or EVPassport-certified installer’s then-prevailing labor rates and other applicable charges.
Any Product that is found by EVPassport to be out-of-warranty or otherwise ineligible for warranty service will be repaired or replaced upon your approval at EVPassport’s standard charges at your expense.

[1] The warranty period of Products purchased pursuant to an IaaS Agreement shall commence on the commencement period set forth in the applicable Agreement and continue during the plan period subject to the terms of the Agreement. The limited warranty for accessories is one (1) year from the date of original purchase, subject to the terms hereof.
[2] For Product purchases governed by an IaaS Agreement, EVPassport’s maximum liability shall not exceed the total subscription fees paid by the Owner during the one-year period immediately preceding the date of the applicable warranty claim.
[3] For IaaS Agreements the Limited Warranty includes factory labor necessary to repair Owner’s Product but does not include on-site labor related to un-installing or reinstalling the repaired or replacement equipment or transportation costs or travel costs related to the labor.
